TERMS & CONDITIONS OF USE

PLEASE REVIEW THESE TERMS CAREFULLY BEFORE USING THE PLATFORM.

THESE TERMS CONTAIN IMPORTANT INFORMATION ABOUT YOUR RIGHTS AND OBLIGATIONS, INCLUDING PROVISIONS THAT LIMIT LIABILITY AND GOVERN HOW DISPUTES ARE RESOLVED. BY ACCESSING, REGISTERING FOR, OR USING THE LegalWox PLATFORM, YOU CONFIRM THAT YOU ACCEPT AND AGREE TO BE LEGALLY BOUND BY THESE TERMS. IF YOU DO NOT ACCEPT THESE TERMS, YOU MUST NOT ACCESS OR USE THE SERVICES.

These Terms of Service (the "Terms") form a binding agreement between you ("you," "your," "User," and, where applicable, the law firm, legal practice, company, or other entity you represent (the "User") and LegalWox ("LegalWox," "we," "us," or "our"). These Terms govern your access to and use of the LegalWox website, and all related features and services (collectively, the "Platform").

For the purpose of these Terms, the "Services" include LegalWox's legal technology solutions, such as practice management, workflow automation, document drafting tools, time tracking, billing assistance, reporting tools, and any related features made available through the platform.

By creating an account, accessing, or using the Platform, you acknowledge and warrant that:

You have read and understood these Terms in full;
You agree to comply with and be legally bound by them;
You have the legal capacity to enter into a binding agreement under the laws of the Federal Republic of Nigeria; and
If you are using the Platform on behalf of a law firm or other organization, you are duly authorized to bind that entity to these Terms.

If you do not agree with any provision of these Terms, you must immediately cease all use of the Platform.

These Terms apply to all current and future features, updates, modifications, and enhancements to the Services unless otherwise stated.

LegalWox provides a technology platform designed to support legal practice operations. We do not provide legal advice or legal representation. Users remain solely responsible for the legal services they deliver, their professional conduct, and compliance with all applicable laws and regulatory obligations, including data protection requirements under the Nigeria Data Protection Act (NDPA), where applicable.

Your continued access to or use of the Platform signifies your ongoing acceptance of these Terms.

Changes to These Terms

LegalWox reserves the right to revise, update, or modify these Terms at any time to reflect changes in our Services, business operations, legal requirements, or for other operational, regulatory, or security reasons.

Where we make material changes to these Terms, we will provide reasonable notice through the Platform, by email, or by other appropriate means. The updated Terms will indicate the effective date of the revisions.

Your continued access to or use of the Platform after the effective date of any updated Terms constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must discontinue use of the Services before the changes take effect.

We encourage you to review these Terms periodically to remain informed of any updates.

Definitions

For the purposes of these Terms, the following words shall have the meanings set out below:

"Platform" means the LegalWox website, software application, system infrastructure, and all related tools, features, dashboards, and functionalities made available to Users.

"User" means any individual who accesses or uses the Platform, including authorized representatives, employees, partners, associates, or staff members of a Law Firm.

"Law Firm" means any legal practice, legal practitioner, partnership, company, or other legal entity that registers for or subscribes to the Services for professional use.

"Client Data" means any information, documents, matter files, personal data, or other materials uploaded, stored, transmitted, or processed on the Platform by or on behalf of a Law Firm in connection with legal representation or professional services.

"Services" means the digital legal workflow solutions provided by LegalWox through the Platform, including case and matter management, workflow automation, document drafting tools, time tracking, billing support, reporting features, and any related functionality.

"Subscription" means the paid or trial-based access granted to a Law Firm or User to use the Services under a selected plan, subject to the terms and conditions of this Agreement.

"Confidential Information" means any non-public information disclosed by one party to the other in connection with the Services, including technical, business, financial, or operational information, as well as Client Data and proprietary system information, whether disclosed in written, electronic, or oral form.

Description of Services

LegalWox provides a cloud-based legal technology platform designed to support the operational and administrative functions of law firms and legal practitioners. The Platform offers digital workflow automation tools that help streamline internal processes, assign tasks, track progress, and manage deadlines efficiently across legal matters.

Through its Case Management features, LegalWox enables Users to organize files, store documents, monitor case developments, and maintain structured records within a centralized system. The Platform also includes document drafting tools that assist Users in preparing legal documents using templates, structured inputs, and formatting support to improve consistency and efficiency.

To support practice management, LegalWox provides time tracking functionality that allows legal professionals to record billable and non-billable hours, monitor productivity, and generate time-based reports. Integrated billing and financial tools may also be available to assist with invoicing, payment tracking, and basic financial administration related to legal services.

The Platform incorporates artificial intelligence (AI)-enabled tools designed to assist with drafting, summarization, workflow suggestions, or document organization. Such tools are intended to enhance productivity and efficiency. Users remain solely responsible for reviewing, verifying, and approving any content generated or assisted by AI features before use in professional practice.

LegalWox provides technology infrastructure only. The Platform does not provide legal advice, legal opinions, or legal representation. Nothing within the Services shall be interpreted as the provision of legal services by LegalWox. Users remain fully responsible for the legal services they provide, their professional judgment, and compliance with all applicable laws and professional regulations.

LegalWox reserves the right to improve, modify, suspend, or discontinue any aspect of the Services at its discretion, provided that such changes are made in good faith and in the ordinary course of business.

Eligibility and Account Registration

Access to and use of the LegalWox Platform is restricted to licensed legal practitioners, duly registered law firms, and authorized personnel acting on their behalf. By registering for or using the Services, you represent and warrant that you are a qualified legal practitioner or a legally recognized law firm, or that you are an authorized employee or representative acting under the supervision and authority of such practitioner or firm.

You agree to provide complete, accurate, and up-to-date information during the registration process and to promptly update such information where necessary. LegalWox reserves the right to verify the credentials of any User or Law Firm and may suspend or refuse access where eligibility requirements are not met or where inaccurate or misleading information is provided.

Each account must be registered using valid contact details, including a professional email address where applicable. Accounts are personal to the registered User or Law Firm and may not be shared, transferred, or assigned without the prior written consent of LegalWox.

Users are solely responsible for maintaining the confidentiality and security of their login credentials, including usernames and passwords. You agree to take all reasonable steps to prevent unauthorized access to your account and to notify LegalWox immediately if you suspect any unauthorized use, security breach, or compromise of your credentials. LegalWox shall not be liable for any loss or damage arising from your failure to safeguard account access information.

For Law Firm accounts, the individual who creates or is designated as the primary account holder shall act as the account administrator. The administrator has the authority to add or remove Authorized Users, assign roles and permissions, manage subscriptions, access firm-level data, and otherwise control the firm's use of the Platform. The Law Firm is responsible for all activities conducted under its account, including actions taken by its Authorized Users.

LegalWox reserves the right to suspend or terminate accounts that violate these Terms, misuse the Platform, or fail to meet eligibility requirements.

User Obligations

By accessing or using the LegalWox Platform, each User agrees to comply with the following obligations:

Lawful Use of the Platfor: Users shall use the Platform strictly in accordance with all applicable laws, regulations, and professional standards. The Platform may only be used for legitimate legal practice and lawful business purposes. Users shall not use the Services to engage in fraudulent, deceptive, abusive, or unlawful conduct, or to facilitate any activity that violates local, national, or international law.
Prohibition on Illegal, Harmful, or Infringing Content: Users shall not upload, store, transmit, generate, or otherwise make available through the Platform any content that:
- Violates any applicable law or regulation;
- Infringes upon the intellectual property rights, privacy rights, or other legal rights of any third party;
- Is defamatory, obscene, fraudulent, misleading, or harmful;
- Contains malicious code, viruses, or any software intended to disrupt, damage, or gain unauthorized access to systems or data.
Users are solely responsible for all data, documents, and materials uploaded to or processed through the Platform.
Confidentiality and Data Protection: Users must maintain the confidentiality of all client information and sensitive data processed through the Platform. Users acknowledge that they remain independently responsible for safeguarding privileged communications, protecting confidential information, and ensuring compliance with applicable data protection and privacy laws. LegalWox provides technological infrastructure only and does not assume responsibility for the professional confidentiality obligations owed by Users to their clients.
Compliance with Nigerian Professional Legal Rules: Users shall comply with all applicable professional conduct rules, including but not limited to the Rules of Professional Conduct for Legal Practitioners in Nigeria, regulations of the Nigerian Bar Association, and any other governing legal or ethical standards. The use of the Platform must not result in any breach of professional duties, including duties relating to competence, confidentiality, client communication, and supervision.
Authority to Upload Client Data: Users represent and warrant that they have the necessary legal authority, client consent and lawful basis to upload, store, process, or transmit any client data or third-party information on the Platform. Users further warrant that such data processing does not violate any contractual obligation, court order, confidentiality agreement, or statutory restriction.
Accuracy and Integrity of Information: Users are responsible for ensuring that all information entered into the Platform is accurate, complete, and not misleading. LegalWox is not responsible for errors arising from incorrect or incomplete data provided by Users.
Account Security and Supervision: Users shall maintain adequate internal controls over access to the Platform. Law firms must ensure proper supervision of employees, associates, contractors, and other Authorized Users who access the Platform under the firm's account. The registered account holder or firm administrator remains responsible for all activities conducted under the account.
Responsible Use of AI Tools (Where Applicable): Where AI-enabled features are used, Users must independently review, verify, and validate any AI-generated output before relying on it in professional practice. Users acknowledge that AI outputs may contain inaccuracies or incomplete information and that professional judgment remains solely the responsibility of the User.

Failure to comply with these obligations may result in suspension or termination of access to the Platform, without prejudice to any other legal remedies available to LegalWox.

Fees and Payment Terms

Subscription Structure: Access to the LegalWox Platform is provided on a subscription basis. Users and Law Firms may select from available subscription plans, each of which grants access to specific features and Services based on the chosen plan. The details of the subscription plan, including scope of access, are set forth during registration or as otherwise communicated by LegalWox.
Billing Cycle: Subscription fees are billed on a monthly or annual), commencing on the date of account activation or as otherwise agreed. Unless otherwise specified, all subscription fees are due in advance of the relevant billing period.
Payment Methods: Users may pay subscription fees using the payment methods accepted by LegalWox, which may include bank transfers, debit or credit cards, or other electronic payment solutions. LegalWox reserves the right to change or add payment methods at its discretion.
Non-Refundable Fees: All subscription fees are non-refundable. Payment for any portion of a subscription period, whether used in full or partially, will not be refunded under any circumstances. Users remain responsible for all fees due for the duration of their subscription.
Payment, Renewal, and Suspension: Users and Law Firms are responsible for ensuring that all subscription fees are paid in full and on time. Subscriptions must be renewed before the end of the current billing period to maintain uninterrupted access to the Platform.
If a subscription is not renewed or fees are not received by the due date, LegalWox may, at its sole discretion, suspend access to the Platform and Services until all outstanding fees are paid. Suspension does not release Users from the obligation to pay any fees already incurred, including charges for the current or previous billing periods, nor any applicable taxes or administrative costs.
Taxes and Compliance: All fees are exclusive of taxes, levies, or duties imposed by any governmental authority, including Value Added Tax (VAT) in Nigeria. Users are responsible for paying any applicable taxes associated with their use of the Platform. LegalWox may, where required by law, collect and remit such taxes on behalf of Users.
Changes to Fees: LegalWox reserves the right to revise subscription fees, billing procedures, or payment terms upon reasonable notice to Users. Continued use of the Platform following any changes constitutes acceptance of the updated fees or terms.

Intellectual Property

Ownership of the Platform: LegalWox and its licensors retain all right, title, and interest in and to the Platform, including all underlying software, technology, features, designs, content, interfaces, algorithms, trademarks, trade secrets, and other intellectual property rights. Nothing in these Terms grants Users any ownership or proprietary rights in the Platform itself.
Ownership of Uploaded Data: Users and Law Firms retain all ownership rights to their data, documents, and materials uploaded, stored, or processed on the Platform ("User Data" or "Client Data"). LegalWox does not claim ownership of User Data.
License to Use User Data: By uploading or providing User Data to the Platform, Users grant LegalWox a limited, non-exclusive, worldwide, royalty-free license to process, store, display, transmit, and use such data solely as necessary to provide the Services, operate the Platform, and improve functionality. LegalWox will not use User Data for purposes unrelated to the provision of Services or disclose it to third parties except as permitted under these Terms, applicable laws, or the User's instructions.
Prohibited Activities:

Users shall not, and shall not attempt to:

Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying structure of the Platform;
Copy, reproduce, modify, distribute, create derivative works of, or publicly display any portion of the Platform outside the scope of these Terms;
Circumvent or disable any technological or security measures implemented in the Platform.

Protection of LegalWox IP: Users agree to respect the intellectual property rights of LegalWox and its licensors. Any unauthorized use of the Platform or its components may result in suspension or termination of access and may expose the User or Law Firm to legal liability.
Feedback
Any feedback, suggestions, or ideas provided by Users regarding the Platform may be used by LegalWox without restriction, and Users hereby waive any claim to compensation or ownership of any intellectual property resulting from such feedback.

Confidentiality

Mutual Confidentiality: Each party agrees to maintain the confidentiality of all non-public, proprietary, or sensitive information disclosed or obtained in connection with the use of the LegalWox Platform ("Confidential Information"). Confidential Information includes, but is not limited to, business plans, technical information, trade secrets, intellectual property, User Data, and any other information marked or reasonably understood to be confidential. Neither party shall disclose such information to any third party except as expressly permitted under these Terms or with the prior written consent of the other party.
Protection of Client Data: Users and Law Firms are responsible for ensuring that any client or third-party data uploaded to the Platform is handled in accordance with professional and legal obligations. LegalWox implements technical and organizational measures to safeguard such data, including encryption, access controls, and secure storage. LegalWox will not access, disclose, or use User Data for purposes other than providing the Services, operating the Platform, or complying with the instructions of the User or Law Firm.
Exceptions
The obligations in this clause do not apply to information that:
- Is or becomes publicly available through no fault of the receiving party;
- Is independently developed by the receiving party without reference to the Confidential Information;
- Is lawfully obtained from a third party who has the right to disclose it; or
- Must be disclosed to comply with applicable laws, regulations, court orders, or governmental or regulatory requests, provided that the disclosing party gives prompt notice where legally permissible so that protective measures may be sought.
Survival
The confidentiality obligations set forth in this clause shall survive the termination or expiration of a User's account, subscription, or these Terms and shall remain in effect for as long as the Confidential Information retains its confidential nature.

Data Protection

All personal data provided or uploaded by Users and Law Firms in connection with the LegalWox Platform is processed in accordance with our Privacy Policy and the provisions of the Nigeria Data Protection Act, 2023 (NDPA) and other applicable laws. By using the Platform, Users acknowledge and agree to the terms of the Privacy Policy and the lawful processing of personal data as described therein.

Limitation of Liability

No Indirect or Consequential Damages: To the maximum extent permitted by law, LegalWox shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, business opportunities, data, or goodwill, arising out of or related to the use of, or inability to use, the Platform or Services.
Liability Cap: LegalWox's total liability for any claim arising out of or relating to these Terms or the use of the Platform, whether in contract, tort, or otherwise, shall not exceed the total fees paid by the User or Law Firm for the Platform during the twelve (12) months immediately preceding the event giving rise to the claim.
No Warranty of Uninterrupted Service: The Platform and Services are provided "as is" and "as available." LegalWox does not warrant that the Services will be uninterrupted, error-free, or free from security vulnerabilities. Users acknowledge that temporary disruptions, delays, or outages may occur due to maintenance, updates, technical issues, or circumstances beyond LegalWox's reasonable control.
Acknowledgment of Risk: Users agree that they use the Platform at their own risk and are responsible for implementing appropriate safeguards, backups, and security measures for their data. LegalWox shall not be responsible for any loss or corruption of User Data except as required under applicable Nigerian laws, including the NDPA.

Indemnity

User Responsibility: Users and Law Firms agree to indemnify, defend, and hold harmless LegalWox, its affiliates, officers, directors, employees, and agents from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Misuse or unauthorized use of the Platform or Services;
- Uploading, storing, or sharing of any data, content, or materials that infringe on the rights of third parties, violate applicable laws, or breach professional or ethical obligations;
- Any failure to comply with applicable laws, regulations, or professional standards, including those related to the handling of client or third-party data;
- Unauthorized access to or disclosure of Client Data caused by the User's actions or negligence.
Notification and Cooperation: LegalWox will promptly notify the User of any claim or demand for which indemnification is sought. The User agrees to cooperate fully with LegalWox in the defense or settlement of such claims.
Control of Defense: LegalWox reserves the right to assume exclusive control of the defense and settlement of any claim subject to indemnification by the User. The User may participate in the defense at their own expense, provided that LegalWox retains the final authority to resolve the matter.
Survival
The obligations under this indemnity clause survive termination or expiration of the User's subscription or these Terms.

Termination

Termination for Breach: LegalWox may suspend or terminate a User's or Law Firm's account immediately if the User materially breaches these Terms, including but not limited to misuse of the Platform, violation of applicable laws or professional obligations, or failure to comply with the Intellectual Property, Confidentiality, or Indemnity clauses. LegalWox may provide notice of breach where reasonably possible, but is not required to do so prior to termination.
Suspension or Termination for Non-Payment: If subscription fees or other amounts due are not received by the applicable due date, LegalWox may suspend access to the Platform until all outstanding amounts are paid. Continued non-payment may result in termination of the account and Services. Users remain responsible for any fees accrued or owed up to the date of suspension or termination, including applicable taxes.
Effect of Termination: Upon suspension or termination, the User's access to the Platform and Services will be revoked. LegalWox will, in accordance with the User's instructions and applicable laws, securely delete, anonymize, or return any Client Data stored on the Platform, unless retention is required by law or for audit, compliance, or fraud prevention purposes. Users are encouraged to download or back up their data prior to termination, as LegalWox is not responsible for maintaining User Data after the termination of Services except as required by law.
Survival of Obligations: Termination or expiration of a User account does not relieve the User of any obligations accrued prior to termination, including payment of fees, indemnification, confidentiality, and compliance with applicable laws.

Governing Law & Dispute Resolution

Governing Law: These Terms and any disputes arising out of or in connection with the Platform or Services shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.
Negotiation
In the event of any dispute, controversy, or claim arising out of or relating to these Terms, the Parties shall first seek to resolve the matter amicably through good faith negotiation. Either Party may initiate negotiation by providing written notice to the other Party describing the nature of the dispute.
Mediation
If the dispute is not resolved through negotiation within [.................] days, the Parties agree to attempt to resolve the dispute through mediation administered by a mutually agreed mediator. Costs of mediation shall be shared equally unless otherwise agreed in writing.
Arbitration
If the dispute is not resolved through negotiation or mediation, it shall be finally resolved by binding arbitration in accordance with the Arbitration and Conciliation Act (Cap A18, Laws of the Federation of Nigeria 2004) and the rules of the Lagos Court of Arbitration (LCA).
- The arbitration shall be conducted by a sole arbitrator, or, if agreed by the Parties, a panel of three arbitrators.
- The arbitration proceedings shall be conducted in English, and the seat of arbitration shall be Lagos, Nigeria.
- The decision of the arbitrator(s) shall be final, binding on the Parties, and enforceable in any competent court.
Jurisdiction Clause: To the extent that any dispute is brought before a court of law, the Parties agree that the courts of the Federal Republic of Nigeria shall have exclusive jurisdiction over such disputes, provided that this shall not prevent LegalWox from seeking injunctive or interim relief in any competent court to protect its intellectual property, Confidential Information, or Client Data.

Amendments

LegalWox reserves the right to update or modify these Terms at any time to reflect changes in the Platform, Services, applicable laws, or business practices. Users will be notified of material changes through the Platform, by email, or via other reasonable means.

Continued use of the Platform after such notice constitutes acceptance of the updated Terms. Users who do not agree to the changes must cease using the Platform and may terminate their subscription in accordance with the Termination clause.

Minor or administrative changes that do not materially affect User rights or obligations may take effect immediately without separate notice.

These Terms of Service constitute the complete agreement between you and LegalWox regarding the use of the Platform and Services. For any questions, clarifications, or assistance, please contact LegalWox through the channels provided on the Platform or in the Privacy Policy.
